Restrictions on Use. Unless expressly permitted, Client may not:
- access or use resource beyond any limits or other restrictions in the applicable Order Form, including with respect to licensed users, business units, locations, client segment type(s), product group(s), Permissioned Affiliate(s) (as defined below), or other Service parameters, or beyond any manner otherwise expressly permitted thereunder,
- modify, adapt, translate, copy, decompile, reverse engineer, populate a database, or create derivative works based on a Service,
- permit any unauthorized service provider or third party to access, use or resell a Service,
- redistribute, resell or otherwise transfer, commercially exploit or make available a Service to any other person or entity, including by loan, rental, service bureau, application service provider, hosting, cloud service, whitelabel, external time sharing or other arrangement,
- use a Service in connection with developing or offering any competing service or otherwise in connection with or in furtherance of a service that competes or aims to compete with the MSCI Group,
- remove, alter, or obscure any copyright or other notices or disclaimers from a Service, or
- knowingly use a Service in a manner that causes damage to the Service or MSCI or impairs the availability, functionality or delivery of the Service.
Additional restrictions regarding use of resource for publication of Academic Works
4.11 Licensee shall only have the right to use the Services for the purpose of non-commercial, non-profit research for any academic research project conducted on Licensee’s premises … Licensee may incorporate limited, non-substantial portions of the data contained in the Services in non-commercial, non-profit academic works or publications (the “Authorized External Use”); provided that:
- Licensee promptly provides MSCI with a copy of such academic work or publication; and
- attribution to MSCI ESG Research LLC as the source of such data is included in such academic work and/or publication (collectively, the “Publications”).
For the avoidance of doubt, under no circumstances may Licensee incorporate the entirety of the data and/or a substantial portion of the Services in any Publication. The commercial use of the Services (including without limitation, the data and/or information contained in the Services) is not permitted hereunder and shall require a separate agreement with MSCI.
Licensee shall include the following in any Publication, in connection with the Authorized External Use:
- For reproduction or use of the Services hereunder, Licensee agrees to place the following notice in close proximity to the Services contained in any Publication:
“Certain information ©20[ ] MSCI ESG Research LLC. Reproduced by permission.”
- In addition, Licensee will place the following notice in any Publication or accompanying any data shared with a Reviewer:
“Although Santa Clara University’s information providers, including without limitation, MSCI ESG Research LLC and its affiliates (the “ESG Parties”), obtain information (the “Information”) from sources they consider reliable, none of the ESG Parties warrants or guarantees the originality, accuracy and/or completeness, of any data herein and expressly disclaim all express or implied warranties,including those of merchantability and fitness for a particular purpose. The Information may only be used for your internal use, may not be reproduced or redisseminated in any form and may not be used as a basis for, or a component of, any financial instruments or products or indices. Further, none of the Information can in and of itself be used to determine which securities to buy or sell or when to buy or sell them. None of the ESG Parties shall have any liability for any errors or omissions in connection with any data herein, or any liability for any direct, indirect, special, punitive, consequential or any other damages (including lost profits) even if notified of the possibility of such damages.”
4.12 Prior to providing data to any User or Reviewer, Licensee shall provide notices to each such User or Reviewer prominently in writing and receive written acknowledgements of such notices by each such User or Reviewer. Such notices shall contain information substantially similar to the following:
- Each User shall only access the Services solely for non-commercial, non-profit use in connection with a course or research project for the duration of such project or course and access as approved by Licensee. Access to the Services shall be terminated at the conclusion of any such academic course or research project or in the event the User ceases to be affiliated with the Licensee. Immediately upon such termination of access, each User shall delete all copies of the Services in his or her possession.
- Each Reviewer shall keep the data confidential and only access the data as provided by Licensee solely for non-commercial, non-profit purpose of evaluating the “scientific traceability” of the relevant research paper as required or deemed necessary by the relevant journal. Immediately upon the completion of such evaluation, each Reviewer shall delete all copies of the Services in his or her possession.
- A User or a Reviewer may not:
- access or use a Service beyond any limits or other restrictions in this Order Form
- modify, adapt, translate, copy, decompile, reverse engineer or create derivative works based on a Service,
- permit any unauthorized service provider or third party to access, use or resell a Service,
- redistribute, resell or otherwise transfer, commercially exploit or make available a Service to any other person or entity, including by loan, rental, service bureau, application service provider, hosting, cloud service, white label, external time sharing or other arrangement,
- use a Service in connection with developing or offering any competing service or otherwise in connection with or in furtherance of a service that competes or aims to compete with the MSCI Group,
- (vi) remove any notice or disclaimer from a Service, or
- knowingly use a Service in a manner that causes damage to the Service or MSCI or impairs the availability, functionality or delivery of the Service.
4.13 Reference. Licensee shall make reference in its promoting of Publications to MSCI as the source of data included in the Publications; provided, however, that no reference to MSCI shall imply any endorsement of the Publication by MSCI or contain any misleading reference to the nature or status of the relationship between Licensee and MSCI.
